GENERAL SCOPE & SUMMARY
Consistently manages complex, strategic negotiations with key global customers/vendors/partners through independent management of cross-functional teams, drafting and negotiations. Demonstrates experience in general corporate matters, including legal drafting of commercial transactional documents, including Software as a Service agreements, license agreements, services agreements, partner agreements, OEM contracts, supplier and vendor agreements, lease/property agreements, as well as employment law, data privacy, and export documents. Acts as advisor on legal issues involving the organization’s business operations. Responsible for preparing new legal templates used across the department and suggesting to General Counsel new legal models and practices. Responsible for protecting company’s interests related to legal issues. Carries through on polices and direction of Legal department. Works on key corporate initiatives to ensure planning and implementation is based on sound legal decisions. Provides legal advice to senior management on strategic matters and critical customer negotiations.
PRIMARY ROLE & RESPONSIBILITIES
Serves as the primary legal adviser to the Marketing Department, and prepares and reviews web/marketing materials, and press releases. Provides a variety of general corporate and commercial legal services to a number of in-house clients, including but not limited to HR, Sales, Professional Services, Finance, R&D, and Support functions. Studies and reviews proposed and current legislation and provides legal advice to Legal Department management. Responds to and manages customer, supplier, and other third-party disputes and pre-litigation matters. Conducts legal research, as needed, for department initiatives and specific matters and provides legal/regulatory advice related to company's regional business transactions. Raises important issues for consideration to Department management and suggests new approaches and practices to meet company’s business needs and/or more effectively protect the company’s interests. SPECIALIZED KNOWLEDGE & SKILLS
* Demonstrated competency in drafting legal documents, contract terms, and legal memoranda.
* Effective written and oral communication skills are essential. This includes the ability to clearly present information, in writing and orally, and respond to questions from executives, managers, customers, and other employees with a focus on client service.
* Ability to communicate complex information and legal concepts to broad range of clients, from staff employees to executive management
* Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines.
* Ability to train non-legal company staff on corporate legal/contract policies
* Experience with intellectual property matters, including licensing, trademark, patents, and copyright a plus.
JOB REQUIREMENTS
* Minimum 7-10 years of combined training in law firm and in house experience strongly preferred
* JD degree from an American Bar Association accredited law school; excellent academic credentials
* Admitted in good standing to practice law in at least one state in the U.S.
* Ability to pass a background check may also be required.
